IMPORTANT NOTICE REGARDING ARBITRATION FOR U.S. ENTRANTS: WHEN YOU AGREE TO THESE OFFICIAL RULES YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND SPONSOR THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 14 “DISPUTE RESOLUTION FOR US ENTRANTS” BELOW FOR DETAILS REGARDING ARBITRATION.
The Agentic World Cup (the “Contest”) is an ongoing, skill-based contest conducted in a series of contest time periods (each, a “Contest Period”), with the start and end dates of each Contest Period set forth on the Contest website in advance of the beginning of each Contest Period. The time period beginning on the start date of the first Contest Period and ending on the end date of the final Contest Period is the “Promotion Period.”
Agreement to Official Rules.
By entering or participating in the Contest, you accept and agree to be bound by these “Official Rules.”
Eligibility.
The Contest is a skill-based contest open to individuals who are eighteen (18) or older as of the date of entry, and who have an active email account and Internet access as of the beginning of the applicable Contest Period. Employees of Sponsor and its parent company, affiliates, subsidiaries, advertising, promotion, fulfillment or other coordinating agencies, individuals providing services to Sponsor through an outsourcer or temporary employment agency during the Promotion Period, and their respective immediate family members and persons living in their same household, are not eligible to participate in the Contest.
How to Enter.
To enter the Contest, eligible entrants must visit the official Contest website at agenticworldcup.ai and register by providing a valid email address. Upon registration, the entrant will receive a confirmation email containing a link to log in to Sponsor’s platform enabling the Contest (“Platform”). After logging in, the entrant must select a country to represent and choose an LLM (large language model) to coach. The entrant will then enter a coaching session in which they may use up to the allotted number of coaching trials to develop and refine a prompting strategy for their agent. During each coaching trial, the entrant submits a natural language coaching prompt, the selected LLM generates a code policy based on that prompt, and the entrant is shown a preview video of the agent’s performance against a practice opponent. When satisfied with their agent’s performance, the entrant must submit a final natural language coaching prompt to the championship (the “Submission”). Once submitted, the Submission is locked and may not be changed.
Only one entry per person, household and/or email address per Contest Period is permitted, regardless of method of entry. Entrants submitting multiple entries in a single Contest Period or violating any of these Official Rules may be disqualified.
Submission Requirements.
By entering a Submission, you represent and warrant that each Submission does not infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy (“Intellectual Property Rights”), or violate any applicable law or regulation.
If a Submission does not meet the criteria described in these Official Rules, Sponsor may disqualify and discard the Submission either immediately or at any time. By entering a Submission, you acknowledge that Sponsor may obtain other Submissions that are similar or identical in format or other respects to that submitted by you. You acknowledge that Sponsor does not waive any rights to use ideas, themes, or concepts previously known to Sponsor, or developed by its employees, or obtained from sources other than the entrant, which may be similar to your Submission. By entering a Submission, you agree that Sponsor is not responsible for any unauthorized use of Submissions by third parties.
Rights in Submissions Granted by You; Access to Platform.
Submissions.
As between Sponsor and you, you will retain all right, title and interest in and to your Submissions, including all Intellectual Property Rights therein. By entering a Submission, you hereby grant to Sponsor a non-exclusive, perpetual, irrevocable, worldwide, fully paid-up, royalty-free, sublicensable (through multiple tiers) and transferable license to use, reproduce, distribute, display, perform, modify, create derivative works of, and otherwise exploit your Submissions, in whole or in part, in any form, format, media or media channel now known or later developed, for any purpose whatsoever, without further notice, approval or compensation to you. For the avoidance of doubt, the foregoing license includes the right to use Submissions in connection with the operation, promotion and marketing of the Contest and Sponsor’s products and services.
License.
Subject to your compliance with these Official Rules, Sponsor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Contest website and the Platform solely for the purpose of participating in the Contest and submitting Submissions during the Promotion Period. This license terminates automatically upon the earlier of (i) the end of the Promotion Period, (ii) your disqualification from the Contest, or (iii) any breach of these Official Rules by you. Sponsor reserves the right to suspend or terminate your access to the Platform at any time, in its sole discretion, for any violation of these Official Rules or for any other reason.
Use Restrictions.
You will not and will not permit any person or entity to, directly or indirectly: (i) copy, modify or create any derivative work of any portion of the Platform (excluding, for clarity, your coaching prompts, the code policies generated for you through the Platform, and your Submissions); (ii) reverse engineer, decompile, decode, or disassemble or otherwise attempt to derive or gain improper access to any software component of the Platform, in whole or in part; (iii) frame or mirror any portion of the Platform, or provide access to your Platform account or login credentials to any other person or entity, or otherwise allow any person or entity to use the Platform other than for your own participation in the Contest in accordance with these Official Rules; (iv) use the Platform in any manner or for any purpose that infringes, misappropriates, or otherwise violates any Intellectual Property Rights or other right of any person or entity, or that violates any applicable law; (v) access or search the Platform (or download any data or content contained therein or transmitted thereby) through the use of any engine, software, tool, script, device or mechanism (including spiders, robots, crawlers or any other similar data mining tools) other than Platform features provided by Sponsor for use expressly for such purposes; (vi) interfere with or disrupt the Platform, the Ranking System, or any matchmaking, scoring or judging process, or attempt to gain unauthorized access to any account, match, ranking or other data of another entrant; (vii) circumvent or attempt to circumvent any coaching-trial limit, entry limit, rate limit or other technical limitation of the Platform, including through the use of multiple or unauthorized accounts; (viii) use any bot, script or other automated means to register for or enter the Contest, other than the agent and coaching functionality made available through the Platform; (ix) tamper with, damage, disable, overburden or impair the Platform or the Contest website, introduce any virus, malware or other harmful code into the Platform or the Contest website, or breach or attempt to breach any security or authentication measure of the Platform or the Contest website; (x) cheat, manipulate or rig, or attempt to cheat, manipulate or rig, any match, result, score, ranking or prize determination, including by match-fixing, colluding with any other entrant, or spoofing, falsifying or misrepresenting any account, identity, location, device, network traffic or other data submitted to or transmitted through the Platform; (xi) impersonate any person or entity or register or enter the Contest using a false identity or another person’s information; or (xii) use any large language model or other artificial intelligence functionality made available through the Platform for any purpose other than developing and refining your agent for the Contest, including to (A) generate or attempt to generate any output that is unlawful, infringing, obscene, harassing, defamatory or otherwise harmful, (B) circumvent, disable or attempt to circumvent or disable any filter, safety guardrail or other usage restriction applicable to such functionality, including by means of prompt injection or jailbreaking, or (C) extract, replicate or attempt to extract or replicate any model, model weights, system prompt or training data, or use any output to develop or train any competing model or service.
Judgment of Submissions and Selection of Winners.
All Submissions will be evaluated solely on the basis of each Submission’s performance in simulated 1v1 soccer matches against other entrants’ Submissions. Judging of Submissions in each Contest Period proceeds in two (2) phases: the qualifier phase and the elimination phase. The Sponsor’s determination of the results is final and binding.
Qualifier Phase.
The qualifier phase of each Contest Period will run for a period determined by Sponsor for each championship and set forth on the Contest website (typically between three (3) days and three (3) weeks). During the qualifier phase, Sponsor’s systems will continually accept eligible Submissions and match them against one another using a matchmaking algorithm. Each Submission is matched against others over a series of automated matches, and results are scored using a third party rating system to produce a cumulative skill ranking. During the qualifier phase, entrants may log in to follow the ranking of their agent and view recordings of matches in which their agent has competed.
Elimination Phase.
Upon completion of the qualifier phase, the sixteen (16) highest-ranked Submissions in that qualifier phase will advance to the elimination phase. The elimination phase consists of a single-elimination bracket comprising a round of sixteen (16), quarterfinals, semifinals, a bronze-medal match, and the final. The entrant whose Submission wins the final will be the First Place winner for that Contest Period, the entrant whose Submission loses the final will be the Second Place winner, and the entrant whose agent wins the bronze-medal match will be the Third Place winner. If an elimination match ends in a draw, it is replayed up to two (2) times; if it remains drawn after the final replay, or if a match cannot be completed, the higher-seeded Submission from the qualifier phase advances, and this rule applies equally to the bronze-medal match and the final.
Determination of Winners.
Winners will be determined by the objective results of the matches as computed by the Platform; no subjective judging criteria will be applied. In the event of a tie or technical dispute, Sponsor reserves the right to resolve the matter in its sole discretion.
Ranking System.
The “Ranking System” consists of (i) a matchmaking algorithm that determines which agents are matched against one another and (ii) a scoring system that takes the results of those matches and scores them using a third party rating model.
Prizes and Odds.
The prizes to be awarded for each Contest Period are as follows:
First Place Prize: $500 (US).
Second Place Prize: $300 (US).
Third Place Prize: $200 (US).
Total value of all prizes to be awarded per Contest Period: $1,000 (US).
The odds of winning a prize depend on the total number of eligible Submissions received in the applicable Contest Period and the skill of those entrants. No substitution of prizes is permitted, except at the sole option of Sponsor for a prize of equal or greater value. Sponsor will not replace any lost or stolen prizes. Winners are solely responsible for any and all federal, state, provincial and local taxes, if any, that apply to prizes. Allow six (6) to eight (8) weeks for delivery of prizes.
Notification of Winners.
Winners will be notified by email within five (5) business days of the winner’s selection, and may be required to sign and return an affidavit of eligibility and publicity/liability release within seven (7) days of notification. If a selected winner cannot be contacted, is ineligible, fails to claim a prize and/or where applicable an affidavit of eligibility and publicity/liability release is not timely received, is incomplete or modified, the prize may be forfeited and an alternate winner will be selected from remaining valid, eligible Submissions timely submitted. In the event of a dispute regarding who submitted a Submission, the Submission will be deemed submitted by the authorized account holder of the email account specified in the Submission. “Authorized account holder” means the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.
Disclaimers.
Sponsor is not responsible for (i) late, lost, delayed, damaged, incomplete, illegible, misdirected or undeliverable Submissions, responses, or other correspondence, whether by email or postal mail or otherwise; or (ii) network, computer, hardware, software program or transmission malfunctions, failures or difficulties.
IN NO EVENT WILL SPONSOR BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE CONTEST, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SPONSOR’S AGGREGATE LIABILITY TO YOU ARISING WITH RESPECT TO THESE OFFICIAL RULES WILL NOT EXCEED $1,000.00. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
Indemnification.
You agree to indemnify, defend and hold Sponsor and its parent, affiliates, subsidiaries, directors, officers, employees, sponsors and agents, including advertising and promotion agencies, and assigns, and any other organizations related to the Contest, harmless from any and all claims, injuries, damages, expenses or losses to person or property and/or liabilities of any nature that in any way arise from participation in this Contest or acceptance or use of a prize or parts thereof, including without limitation (i) any third party claims made in connection with your Submissions, or any representations and warranties made by you in connection with your Submissions; and (ii) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Contest.
Publicity.
Except where prohibited, by participating in the Contest, you consent to the use of your name, photo and/or likeness, biographical information, and statements attributed to you as an entrant (if true) for advertising and promotional purposes, including without limitation, inclusion in Sponsor’s newsletters, the Contest website and Sponsor’s homepage at https://colosseums.ai/, without additional compensation.
Additional Contest Conditions.
Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend the Contest in whole or in part, if in Sponsor’s opinion (a) the Contest is not capable of running as planned by reason of the occurrence of any event beyond its control including, but not limited to, fire, flood, epidemic, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications, equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Contest by any party, or any federal, state, local or provincial government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control, or (b) any other factors beyond Sponsor’s reasonable control corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, in all instances without liability to the entrants. Sponsor also reserves the right to disqualify any entrant or winner, as determined by Sponsor, in its sole discretion. In addition, if you breach these Official Rules (including the use restrictions in Section 5(c)), or if Sponsor reasonably suspects that you have done so, Sponsor may, in its sole discretion and without notice or liability to you, suspend or terminate your Platform account and your access to the Platform and the Contest website, disqualify you from the Contest and void any of your Submissions, entries, matches, rankings and results, require the forfeiture or return of any prize awarded to you, and bar you from participating in any future Contest Period. Sponsor’s rights under this Section 12 are in addition to, and not in lieu of, any other rights or remedies available to Sponsor at law or in equity.
Governing Law and Choice of Forum.
These Official Rules are governed by the law of the State of California, without reference to rules governing choice of laws. Except as otherwise expressly set forth in Section 14 “Dispute Resolution for US Entrants” the exclusive jurisdiction for all Disputes (defined below) that you and Sponsor are not required to arbitrate will be the state and federal courts located in San Francisco County, and you and Sponsor each waive any objection to jurisdiction and venue in such courts.
Dispute Resolution for US Entrants.
Except as otherwise expressly set forth in this Section 14 the exclusive jurisdiction for all Disputes (defined below) that you and Sponsor are not required to arbitrate will be the state and federal courts located in San Francisco County, and you and Sponsor each waive any objection to jurisdiction and venue in such courts.
Mandatory Arbitration of Disputes.
We each agree that any dispute, claim or controversy arising out of, or in connection with, this Contest or these Official Rules (collectively, “Disputes”) will be resolved solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding. You and Sponsor agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these Official Rules, and that you and Sponsor are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Official Rules.
Exceptions.
As limited exceptions to Section 14(a) above: (i) we both may seek to resolve a Dispute in small claims court if it qualifies; and (ii) we each retain the right to seek injunctive or other equitable relief from a court to prevent (or enjoin) the infringement or misappropriation of our Intellectual Property Rights.
Conducting Arbitration and Arbitration Rules.
The arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “AAA Rules”) then in effect, except as modified by these Official Rules. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. A party who wishes to start arbitration must submit a written Demand for Arbitration to AAA and give notice to the other party as specified in the AAA Rules. The AAA provides a form Demand for Arbitration at www.adr.org.
Any arbitration hearings will take place in the county (or parish) where you live, unless we both agree to a different location. The parties agree that the arbitrator shall have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability and scope of this arbitration agreement.
Arbitration Costs.
Payment of all filing, administration and arbitrator fees will be governed by the AAA Rules, and we won’t seek to recover the administration and arbitrator fees we are responsible for paying, unless the arbitrator finds your Dispute frivolous. If we prevail in arbitration we’ll pay all of our attorneys’ fees and costs and won’t seek to recover them from you. If you prevail in arbitration you will be entitled to an award of attorneys’ fees and expenses to the extent provided under applicable law.
Injunctive and Declaratory Relief.
Except as provided in Section 14(b) above, the arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. To the extent that you or we prevail on a claim and seek public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the entitlement to and extent of such relief must be litigated in a civil court of competent jurisdiction and not in arbitration. The parties agree that litigation of any issues of public injunctive relief shall be stayed pending the outcome of the merits of any individual claims in arbitration.
Class Action Waiver.
YOU AND SPONSOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, if the parties’ Dispute is resolved through arbitration, the arbitrator may not consolidate another person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void.
Severability.
With the exception of any of the provisions in Section 14(f) of these Official Rules (“Class Action Waiver”), if an arbitrator or court of competent jurisdiction decides that any part of these Official Rules is invalid or unenforceable, the other parts of these Official Rules will still apply.
Dispute Resolution for Non-US Entrants.
The exclusive jurisdiction for all Disputes will be the state and federal courts located in San Francisco County, and you and Sponsor each waive any objection to jurisdiction and venue in such courts.
Personal Information.
Sponsor may collect personal data about entrants online, in accordance with its privacy policy and as may be more specifically set forth in these Official Rules. Please review these Official Rules and Sponsor’s privacy policy at https://agenticworldcup.ai/privacy/.
Winner’s List.
For a list of prize winners for a Contest Period, send an email message to hello@agenticworldcup.ai with “Winner’s list” as the email subject and the Contest name and applicable Contest Period specified in the body of the email. Requests must be received within four (4) weeks of the end of the applicable Contest Period.
